Tax · Owner-managers and holding structures

The structure behind it all.

The right structure gives you flexibility day to day and freedom when it matters most: on investment, sale or succession. We advise owner-managers on holding structure, dividends, salary and wealth, seen as a whole.

Holding structureDividends and salaryWealth held in a company

Many owner-managers only discover the structure was wrong when they need to use it.

Who it is for

For owner-managers who want control of how the company, the holding company and their personal finances fit together. And for owners with several companies, investments or properties.

We advise on the owner as much as on the company. In the end, it is the owner’s finances that need to add up.

The owner’s perspective

The company is a means. Not the goal.

We start from the owner: the family, the wealth and the plans for the years ahead.

A structure is only good if it fits the life it is meant to support.

Questions.

Why have a holding company?

A holding company can receive dividends from the operating company, often without tax, and gives you flexibility to invest, shield value and carry out a later sale or generational handover.

What is a tax-free share exchange?

A way to place an operating company under a holding company without triggering tax for the owner. It can be carried out with or without approval from the Danish Tax Agency (Skattestyrelsen).

Should I take salary or dividends?

It depends on your total income, pension, the company’s finances and your plans. The answer changes over time and should be reviewed every year.

Can the holding company own property?

Yes. Whether it is the right solution depends on the type of property and your plans. We take you through the pros and cons.

When is a holding structure not an advantage?

When there is no surplus to place, or when the cost of running several companies outweighs the benefit. We only recommend a structure that makes sense for you.

Can the structure be changed later?

Yes, but some changes can trigger tax. That is why it pays to think the structure through before it is set up.

What does the advice cost?

It depends on the scope of the structure. We agree the price with you before we begin.
