Advisory · Succession and ownership transfer
What you have built should carry on.
A change of ownership is a financial, tax and human decision. We help owners pass their business to the next generation, to management or to a new owner, at a time and on terms they choose themselves.
A good ownership transfer begins long before anyone talks about it out loud.
Who it is for
For owners thinking about what should happen to the business when they step back. And for families where the next generation is to take over, and where relationships must hold, even after the handover.
We take the time to understand what matters to you. Price is one consideration. Rarely the only one.
What we deliver.
- Succession planWhen, how and to whom, with the financial consequences worked through.
- ValuationA value that can be defended to family, buyers and the authorities.
- Tax planningTax succession (skattemæssig succession), gift tax (gaveafgift) and holding structure worked through, so tax does not decide for you.
- FinancingModels for how the new owner can finance the takeover, for example through vendor financing or a gradual transfer.
- Shareholders’ agreementsClear rules for the owners, drawn up together with your lawyer.
- HandoverThe completion itself, and a leadership transition that brings calm to the organisation.
When the time is approaching.
- Next generationYour children are to take over, and a solution must be found that is fair to everyone.
- ManagementKey employees are to take over, in full or in part.
- Co-ownersA partner is leaving, and the ownership needs restructuring.
- Time horizonYou plan to step back in a few years and want to know what to do now.
- ContingencyThe unexpected can happen. A plan should be in place before it is needed.
- Shareholders’ agreementThere is no shareholders’ agreement, or it no longer fits the business.
The hardest part of an ownership transfer is rarely the numbers.

Time and trust
A process over years. Not weeks.
An ownership transfer often extends over several years. That is why the same partners stay with you all the way.
We sit at the table when the family or management need to talk about the difficult things.
Questions.
When should we start planning a family succession?
Ideally several years ahead. Many of the most effective tax solutions need time to be put in place.
What is tax succession?
An arrangement where the new owner takes over the seller’s tax position, so no tax is triggered on the transfer. It can make a family succession considerably easier to finance.
How is the business valued in a family succession?
The value must be defensible to the Danish Tax Agency (Skattestyrelsen) and feel fair within the family. We prepare a valuation that takes both into account.
Can the business be transferred gradually?
Yes. A gradual transfer can spread the tax, ease the financing and allow time to hand over leadership.
What about siblings who will not take over?
That requires a solution that is financially fair, even when not everyone receives shares. We help you find the balance.
Can management buy the business?
Yes. A management buy-out typically requires a financing model in which the seller, the bank or an investor contributes.
What does advice on ownership transfer cost?
It depends on the scope of the process. We agree the price with you before we begin.
